(1) ORGANIZATION. The Council shall be composed of the officers of the Association and representatives from the following groups appointed by the Officers of the Council, hereinafter provided for, in conjunction with the Headmaster and the Director of the Alumni Fund. Their terms of office shall be for three fiscal years. The Director of the Alumni Fund and the Director of Development shall serve as exofficio members of the Alumni Council without a vote. The Officers of the Association shall be the Officers of the Council. The President of the Association shall be the Chairman of the Council.
- THE IMMEDIATE PAST CHAIRMAN OF THE COUNCIL. (Term of office one year)
- CLASS AGENTS. This group shall be composed of one or more representatives from each graduated class as appointed by the Officers of the Council in consultation with the Alumni and Development Office. Class Agents will be responsible for both Annual Giving fundraising and communicating with their classmates. (Term of office 5 years)
- ASSOCIATE AGENTS. This group shall be composed of one or more representatives from each graduated class as appointed by the Class Agents and the Alumni and Development Office. Associate Agents will be responsible for both Annual Giving fundraising and communicating with their classmates. (Term of office can be reviewed at any time)
- CLASS SECRETARIES. This group shall be composed of volunteers from various classes. Class Secretaries will be responsible for communicating with their classmates and assisting Class Agents in whatever duties mutually agreed upon. (Term of office can be reviewed at any time)
- CITY CAPTAINS. This group shall be composed of one or more representatives from any geographical area, including, but not limited to representatives from New York, Boston, Washington DC, and San Francisco. City Captains will work with Decade Captains to plan and implement events for alumni in their respective areas. (Term of office can be reviewed at any time)
- DECADE CAPTAINS. This group shall be composed of at least one representative from each decade. Decade Captains will work with City Captains to plan and implement events for alumni in their respective decades. (Term of office can be reviewed at any time)
Nothing herein shall be construed to prevent the reappointment of any representative on the Council.
Vacancies occurring in membership of the Council during any fiscal year may be filled by interim appointments by the Officers of the Council in conjunction with the Headmaster and the Alumni and Development Office.
(2) POWERS AND DUTIES. The Council shall undertake such activities as in its opinion will carry out the purposes of the Association. It shall consider any matters that may be brought to its attention by the Board of Trustees of the school or by the Headmaster and, when so requested, shall give its opinion thereon in writing.
(3) MEETINGS. There shall be at least one regular meeting of the Council each year to be held at the call of the Chairman or the Officers of the Council, as herein provided for, preferably at the school. The members present shall constitute a quorum for transaction of all business and a majority of those present shall be sufficient to adopt any resolution of the Council.
(4) COMMITTEES. The Chairman of the Council shall appoint committee chairmen and members with the approval of the Council. The Chairman of the Council shall be an ex-officio member of all committees with vote. The Director of the Alumni Fund shall be an ex-officio member of all committees without vote. The Council, on recommendation of the Chairman of the Council, may establish from time to time such ad hoc committees as may appear to further the purposes of the Association.
(5) STANDING COMMITTEES. There shall be the following Standing Committees of the Council whose chairmen shall be members of the Council and whose members must be members of the Association.
- NOMINATING COMMITTEE which shall recommend candidates for appointment by the Officers of the Council to fill positions on the Alumni Council and which shall nominate candidates for President, Vice-President, and Secretary of the Association.
- CONSTITUTION COMMITTEE which shall recommend amendments to the constitution and By-Laws when requested to do so.
